These Terms of Service (“Terms”) govern your access to and use of verdantine.com and your purchase of products from Verdantine. The website and store are operated by Grandvia Technology Limited. By accessing the website or placing an order, you agree to these Terms, our Privacy Policy, Return and Refund Policy, and Shipping Policy.

1. Eligibility and Account Information

You must be legally capable of entering into a binding contract in your jurisdiction to place an order. You agree to provide current, complete, and accurate account, billing, payment, and shipping information and to keep account credentials secure. You are responsible for activities conducted through your account unless prohibited by law.

2. Products and Website Information

We make reasonable efforts to describe and display products accurately. Colors and appearance may vary because of screen settings, lighting, manufacturing variations, materials, and photography. Measurements may be approximate. Product specifications, packaging, availability, and designs may change without notice where the change does not materially reduce the product's advertised function or where permitted by law.

You are responsible for reviewing dimensions, compatibility, electrical requirements, installation requirements, and other product information before ordering. Products requiring electrical work or permanent installation should be installed by a qualified professional in accordance with applicable codes and manufacturer instructions.

3. Prices, Taxes, and Payment

Prices are displayed in the currency shown on the website or at checkout and may change before an order is placed. Applicable discounts, shipping charges, and taxes collected by us will be shown at checkout. Available payment methods are displayed at checkout.

For orders delivered within the United States, import duties, import taxes, brokerage and customs-clearance charges are included in our prices. You will not be asked to pay them on delivery. See our Shipping Policy for details.

You represent that you are authorized to use the payment method submitted. Orders may be subject to authorization, verification, fraud screening, and payment approval. A pending authorization or order confirmation does not necessarily mean that an order has been accepted for fulfillment.

4. Orders and Acceptance

We may accept, decline, limit, or cancel an order where reasonably necessary, including because of stock errors, pricing errors, suspected fraud, payment failure, shipping restrictions, product safety concerns, or inability to fulfill the order. If we cancel a paid order, we will refund the cancelled amount to the original payment method.

We may limit quantities purchased per person, household, payment method, billing address, shipping address, or order.

5. Cancellations and Order Changes

You may request cancellation or changes before shipment by contacting support@verdantine.com as soon as possible. We cannot guarantee a cancellation or modification after processing or fulfillment has begun. Once an order has shipped, our Return and Refund Policy applies.

6. Shipping, Delivery, and Risk

Processing and delivery estimates are explained in our Shipping Policy. Delivery dates are estimates unless we expressly state otherwise. You are responsible for providing a complete and accurate delivery address and for ensuring that delivery can be accepted.

Risk of loss passes as provided by applicable law. Nothing in these Terms limits any rights you may have when goods are lost, damaged, defective, or not supplied as agreed.

7. Returns and Refunds

Returns, damaged or incorrect products, cancellations, exchanges, and refunds are governed by our Return and Refund Policy, which forms part of these Terms.

8. Promotions and Discount Codes

Promotions may be subject to additional conditions, eligibility limits, expiration dates, excluded products, minimum purchase requirements, and usage limits. Unless expressly stated, promotions cannot be combined, exchanged for cash, or applied retroactively.

9. Reviews, Messages, and User Content

If you submit a review, image, comment, or other content, you confirm that you have the right to provide it and that it is accurate, lawful, and does not infringe another person's rights. You grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, adapt, publish, and display that content in connection with operating and promoting the Services, subject to applicable privacy law. We may remove content that is unlawful, misleading, abusive, irrelevant, or otherwise inappropriate.

10. Intellectual Property

The website, branding, text, graphics, layout, photographs, videos, software, and other content are owned by or licensed to Grandvia Technology Limited and are protected by applicable intellectual property laws. You may use the website for personal, non-commercial shopping purposes. You may not copy, scrape, reproduce, distribute, modify, resell, or exploit website content without written permission, except as permitted by law.

11. Prohibited Uses

You may not use the Services for unlawful, fraudulent, abusive, infringing, or harmful purposes; interfere with website security or operation; introduce malicious code; attempt unauthorized access; collect information about others without authorization; submit false information; or use automated systems to overload, scrape, or manipulate the Services in violation of applicable law or our instructions.

12. Third-Party Services and Links

The Services may rely on or link to third-party services, including Shopify, payment providers, carriers, and applications. We are not responsible for third-party websites that we do not control. Your use of a third-party service may be subject to its own terms and privacy policy.

13. Disclaimer

To the maximum extent permitted by law, the website and its general informational content are provided on an “as available” basis. We do not warrant that access will always be uninterrupted or error-free. Product warranties, if any, are limited to those expressly stated with the product or required by law. Nothing in these Terms excludes warranties, guarantees, rights, or remedies that cannot lawfully be excluded.

14. Limitation of Liability

To the maximum extent permitted by applicable law, Grandvia Technology Limited will not be liable for indirect, incidental, special, exemplary, punitive, or consequential losses arising from use of the Services where such losses were not reasonably foreseeable. Our aggregate liability relating to a product order will not exceed the amount paid for the product giving rise to the claim, except where a higher or different liability is required by law.

Nothing in these Terms limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, willful misconduct, or any liability that cannot legally be limited.

15. Indemnification

To the extent permitted by law, you agree to be responsible for losses, claims, or reasonable costs resulting from your unlawful misuse of the Services, infringement of another person's rights, or material breach of these Terms. This section does not apply to losses caused by our own breach, negligence, or unlawful conduct.

16. Governing Law

These Terms are governed by the laws of the Hong Kong Special Administrative Region, without regard to conflict-of-law principles. This choice does not deprive a consumer of mandatory protections or access to a competent forum available under the laws of the consumer's place of residence.

17. Changes, Severability, and Entire Agreement

We may update these Terms by posting a revised version with a new “Last updated” date. Changes apply prospectively unless otherwise stated or required by law. If any provision is held unenforceable, the remaining provisions remain effective. These Terms and the policies incorporated by reference form the agreement between you and us concerning the Services and purchases, except for additional terms expressly agreed in writing.
